Corporate Governance

Reviver is committed to the highest standards of corporate governance. The board executives from our business are responsible for reviewing Reviver's compliance with corporate governance best practice and for designing and implementing policies and procedures to ensure our continuing compliance.

We believe that there are three key elements of good governance, the relationship with shareholders, internal controls and our Leadership Board. The balance between these three elements determines the level of corporate governance that will be achieved.

Relations with shareholders
Reviver is committed to ongoing communications with its shareholders. This is managed by our Head of Marketing. We disclose End of Year Account information, as well as timely announcements and other significant news.

We have established regular dialogue with our major investors and our Annual General Meeting gives all our shareholders the opportunity to ask the Board questions.

In addition, shareholders can write at any time with a query, to the Board of Directors, or to the Head of Marketing.

Internal Control
The directors have overall responsibility for establishing and maintaining the systems of internal control and risk management and for reviewing their effectiveness. These systems are designed to manage rather than eliminate risks and to provide reasonable but not absolute assurance.

An ongoing process for identifying, evaluating and managing the significant risks faced by Reviver is being established. Our Executive Team will prepare a detailed risk assessment at least annually. It will cover operational, financial and strategic risks and identify the nature and extent of risks facing the company, the likelihood of those risks materialising and appropriate mitigation plans.

Our Reviver Executive Board
The Executive Board is the principle decision-making forum for Reviver. It has overall responsibility for leading and controlling the Company and is accountable to shareholders for financial and operational performance. The Board approves the company strategy and monitors the company performance.

The Board has a balance of executive and non-executive advisors members.

Our Head of Marketing works with the Company Secretary to ensure all directors receive sufficient information, on a timely basis, to enable the Board to run efficiently.
